TOBIN served as Managing Broker-Dealer for the private placement of equity interests in Riverwalk Developments FundCos, a Caliber-sponsored equity offering structured through multiple FundCos and HoldCos to acquire ground lease interests across the Riverwalk master-planned development in Scottsdale, Arizona. In its role as Managing Broker Dealer, TOBIN acted as the supervising Broker-Dealer responsible for regulated offering execution.
The offering encompassed five distinct parcels of land totaling approximately 78.585 acres. Each parcel was held through a separate HoldCo, which acquired the right, title and interest as lessee under long-term ground leases within the Salt River Pima-Maricopa Indian Community. All parcels are located within a federally designated Opportunity Zone along the eastern border of Scottsdale.
Investor capital was admitted through multiple equity classes, providing differentiated return profiles and governance rights within a single coordinated offering structure. The investment strategy contemplated monetization of the leased parcels through market-rate dispositions to third parties or contribution into vertical development partnerships, with Caliber-affiliated entities serving as developers. Offering proceeds were invested alongside the Caliber Tax Advantaged Opportunity Zone Fund, LP and Riverwalk Land MezzCo, LLC, aligning capital across complementary Caliber-sponsored vehicles.
As Managing Broker-Dealer, TOBIN oversaw broker-dealer operations across all Fund entities and equity classes, including review and approval of offering documents, supervision of selling compensation structures and coordination of disclosures addressing Opportunity Zone participation and affiliated-party transactions. TOBIN also served as supervising Broker Dealer, providing FINRA-compliant execution across investor communications, executive summaries and private placement materials.
This engagement reflects TOBIN’s role as a hands-on Broker-Dealer for complex real estate equity offerings involving multi-entity fund structures, multi-class capital stacks, Opportunity Zone investments and ground lease real estate.
