TOBIN served as Managing Broker-Dealer for the private placement of tenant-in-common interests in Right Move Storage – Rifle, a Caliber-sponsored real estate offering involving a TIC structure and direct ownership interests in income-producing commercial real estate. The engagement required an experienced Managing Broker Dealer capable of supervising a tenant-in-common offering where investors acquire undivided fractional interests in real property rather than interests in a fund or operating company.
The offering related to a stabilized self-storage facility located at 1453 Airport Road in Rifle, Colorado, on Colorado’s Western Slope along the I-70 corridor. The property consists of a large-format storage and surface parking facility with existing cash flow and identified expansion potential. TIC investors acquired direct ownership interests in the real estate through a tenancy-in-common structure, with income derived from property operations and long-term asset appreciation.
The tenant-in-common structure required coordination among the TIC Agreement, asset management agreements and investor subscription documentation to ensure compliance with applicable IRS guidance and securities regulations governing TIC offerings. The property is managed by Rifle Storage ManageCo, LLC, an affiliate of Caliber, pursuant to an asset management framework governing operations, reporting and capital improvements.
As Managing Broker Dealer, TOBIN oversaw broker-dealer operations throughout the offering, including review and approval of the TIC offering term sheet, tenant-in-common agreements, subscription materials and investor disclosures. TOBIN supervised Broker-Dealer execution to address structure-specific considerations such as direct real estate ownership, investor suitability, transfer limitations and ongoing reporting obligations associated with tenant-in-common interests.
TOBIN also served as the supervising Broker-Dealer, providing FINRA-compliant oversight of investor onboarding, documentation review and offering execution for a structure requiring careful coordination between securities regulation and real property ownership mechanics.
