TOBIN serves as the Managing Broker-Dealer for the ongoing private placement of equity interests in Pickleball at Riverwalk Opportunity Zone Fund, LLC, a Caliber-sponsored real estate offering formed to develop a premier indoor pickleball facility within the Riverwalk master-planned development in Scottsdale, Arizona.
The project contemplates the development of an approximately ±186,423 square foot, fully indoor pickleball facility situated on an ±11.44-acre site near Talking Stick Resort & Casino. Caliber is partnering with PURE Pickleball to co-develop and operate a destination-quality, membership-based facility designed to support daily club use, leagues, instruction, corporate events, and regional tournaments.
The planned facility will include 50 indoor courts, including a championship court with spectator seating, along with ancillary amenities such as a fitness area, pro shop, food and beverage offerings, locker rooms, and dedicated hospitality and event spaces. The project is intended to function as both a community-oriented club environment and a tournament-capable venue.
The site is located on land owned by the Salt River Pima-Maricopa Indian Community, and the project is being pursued in collaboration with the Tribe. Portions of the project area are located within federally designated Qualified Opportunity Zones.
The Opportunity Zone structure is intended to provide investors with potential tax benefits under the Opportunity Zone legislation, which may include the deferral of eligible capital gains and the potential exclusion of gains on qualifying investments held for the applicable statutory period, subject to the requirements of the Internal Revenue Code and individual investor circumstances.
This offering operates alongside a parallel non-Opportunity Zone fund structure for the same underlying project, providing investors with alternative entry points depending on tax considerations and investment objectives.
As the Managing Broker-Dealer, TOBIN oversees the offering and the processes of the issuer as they relate to U.S. securities laws, focusing on disclosure integrity, investor suitability, and regulatory compliance. TOBIN reviews and approves the private placement memorandum and related materials, evaluates selling compensation structures, and ensures that material risks, assumptions, and conflicts are clearly and consistently disclosed throughout the offering.
