TOBIN served as Managing Broker-Dealer for the private placement of equity interests in Pima Center FundCo, LLC, a Caliber-sponsored commercial real estate equity offering involving ground-up development, Opportunity Zone considerations and a single-tenant net lease structure. The engagement required an experienced Managing Broker Dealer capable of supervising a development-stage offering through construction, lease commencement and stabilization.
The offering financed the development of a purpose-built educational facility leased to Rancho Solano, a long-established PK–12 international preparatory school. The approximately 26,600-square-foot property is located at the northeast corner of Pima Road and Via de Ventura within the Pima Center master-planned area of Scottsdale, Arizona. The site is subject to a long-term ground lease with the Salt River Pima-Maricopa Indian Community and is located within a federally designated Qualified Opportunity Zone.
The project was structured as a build-to-suit development for a single accredited tenant and was completed in 2022. Rancho Solano took delivery in early 2023 and entered into a long-term lease with a twenty-year initial term, contractual rent escalations and a tenant purchase option at a predetermined price. Following lease commencement, the asset transitioned into stabilized operations under Caliber’s asset management platform.
As Managing Broker Dealer, TOBIN oversaw broker-dealer operations throughout the offering lifecycle, including review and approval of the private placement memorandum, supervision of selling compensation arrangements and coordination of disclosures addressing Opportunity Zone eligibility, ground lease risk, single-tenant concentration and development-to-stabilization transition. TOBIN also acted as the supervising Broker Dealer, providing FINRA-compliant execution across investor communications, subscription documentation and ongoing reporting.
