Managing Broker-Dealer Operations

Private Placement Offering

TOBIN served as the exclusive Managing Broker-Dealer for Grubb Southeast Real Estate Fund V, LLC, a private real estate fund focused on acquiring, improving, and operating a diversified portfolio of assets across the Southeastern United States.

Fund Strategy and Investment Profile

Grubb designed Fund V as a disciplined real estate private equity vehicle, targeting a diversified portfolio across key Southeastern markets including Charlotte, Raleigh-Durham, Charleston, Atlanta, and Nashville.

The investment strategy focused on:

  • Acquiring underperforming or mispositioned assets with correctable deficiencies
  • Executing targeted capital improvements and operational enhancements
  • Selectively pursuing urban infill development opportunities with compelling risk-adjusted return profiles
  • Creating stable cash flow post-stabilization, with appreciation potential and tax-advantaged characteristics

The Fund sought to deliver a total return profile exceeding a 1.5x multiple with mid-teens IRR targets, supported by disciplined asset selection, active management, and strategic disposition timing.

TOBIN’s Role as Managing Broker-Dealer

As Managing Broker Dealer,  TOBIN oversaw the offering and the issuer’s processes related to U.S. securities laws with a focus on disclosure integrity, investor suitability, and regulatory compliance.

TOBIN’s responsibilities included:

  • Comprehensive review and refinement of the Private Placement Memorandum and Subscription Agreement
  • Coordination of regulatory positioning under Regulation D for a private offering to accredited investors
  • Review and approval of offering materials in accordance with FINRA Rule 2210
  • Structuring and execution of the offering framework to support capital formation across a sophisticated investor base

 

 

Investor Review and Approval Framework

TOBIN implemented its proprietary, centralized and disciplined investor intake and approval process, serving as the regulatory gatekeeper for participation in the Fund.

Each prospective investor was subject to:

  • Know Your Customer (KYC) review
  • Anti-Money Laundering (AML) verification
  • Bad-Actor (BAQ) review and confirmation
  • Accreditation verification under Regulation D
  • Suitability analysis based on financial profile and investment experience

In parallel, Grubb’s Investor Services Department conducted its own investor review process, creating a dual-layered diligence framework that reinforced both investor protection and offering integrity.

Operational Execution and Investor Onboarding

TOBIN assisted with the execution of subscription documentation and investor onboarding, working in close alignment with the issuer to maintain a seamless, high-touch process.

The Fund’s structure—based on capital commitments with staged capital calls—required careful coordination between investor communications, subscription processing, and capital tracking.
